The rules of the road. What you agree to when you use Stitch Social.

Introduction

Welcome to Stitch Social. These Terms of Service ("Terms") are a legally binding agreement between you and Cold Harbor Digital ("we," "us," "our") governing your access to and use of stitchsocial.me, the Stitch Social mobile app, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms and to our [Privacy Policy](/privacy). If you do not agree, do not use the Service.

These Terms include an Acceptable Use Policy ("AUP") that governs what content and conduct are permitted on the Service. The AUP is part of these Terms and is enforced through account suspension and termination.

Eligibility

Age Requirements: • You must be at least 13 years old to use the Service. • Users under 13 are strictly prohibited. We will delete accounts identified as under 13 in accordance with COPPA. • Users 13–17 ("Teens") are gated to a limited experience while we build age-appropriate features. Some features (including payments, tipping, and full content access) are restricted to users 18 and older. • You must be at least 18 to purchase Hype Coins, send tips, or receive creator payouts.

Jurisdiction & Capacity: • You represent that you have the legal capacity to enter into these Terms in your jurisdiction. • You represent that you are not located in, or a resident of, any country subject to comprehensive U.S. sanctions, and you are not on any U.S. government list of prohibited or restricted parties.

Compliance with Local Law: You are responsible for ensuring your use of the Service complies with the laws of your jurisdiction.

Your Account

Account Creation: • You must provide accurate, current information when you sign up. • You are responsible for safeguarding your login credentials and for all activity under your account. • One person, one account. Creating multiple accounts to evade enforcement is prohibited.

Account Security: • Notify us immediately at security@stitchsocial.me if you suspect unauthorized access. • We are not liable for losses resulting from compromised credentials when you have not enabled available security features (e.g., two-factor authentication).

Account Termination by You: You may delete your account at any time from in-app settings or by emailing privacy@stitchsocial.me. Some data may be retained for legal, fraud-prevention, or financial-record purposes as described in our Privacy Policy.

Acceptable Use Policy

Zero-Tolerance Policy. Stitch Social maintains a strict, zero-tolerance policy for objectionable content and abusive users. By creating an account you agree there is no tolerance for the categories listed below; violations result in immediate content removal, account suspension, or permanent ban without warning. Submitting an account to or accessing the Service constitutes acceptance of this zero-tolerance commitment.

The following content and conduct are prohibited on the Service. This list is not exhaustive — Stitch Social retains discretion to remove content and accounts that we determine violate the spirit of these Terms.

Strictly Prohibited Content:

🚫 Adult content & sexually explicit material Nudity, sexually explicit imagery or video, pornographic content, escort or sex-work solicitation, adult audio/video chat for sexual purposes, or content sexualizing minors in any form. This applies to all content uploaded to or distributed through the Service, including profile photos, video, audio, text, and direct messages.

🚫 Intellectual property or proprietary rights infringement Content you do not own or have authorization to share, including copyrighted music, video, images, software, or trademarked material. This includes leaked albums, ripped streams, unauthorized re-uploads of others' content, and use of trademarks to imply endorsement.

🚫 Violent extremism, hate speech, and incitement Content that engages in, encourages, promotes, or celebrates unlawful violence; threats of violence; hate speech directed at any group based on race, ethnicity, religion, disability, gender, gender identity, sexual orientation, national origin, age, veteran status, or any other characteristic protected by applicable law; recruitment or material support for designated terrorist or violent extremist organizations.

🚫 Child safety violations Any content that sexualizes minors, any contact or content that constitutes child sexual abuse material (CSAM), grooming, or endangerment of minors. We report CSAM to the National Center for Missing & Exploited Children (NCMEC) and cooperate with law enforcement.

🚫 Illegal activity Content depicting or facilitating illegal acts, sale or solicitation of regulated goods (firearms, controlled substances, unauthorized pharmaceuticals), human trafficking, or any conduct that violates applicable law.

🚫 Harassment, bullying, and threats Targeted harassment, doxxing (publishing private personal information), sustained personal attacks, or threats directed at an individual or group.

🚫 Fraud, deception, and impersonation Impersonating another person or entity; misrepresenting your identity or affiliation; fraudulent commerce, phishing, or scams; manipulating engagement metrics or tier placement through inauthentic activity.

🚫 Spam and platform abuse Bulk unsolicited content, automated posting, link farms, deceptive redirects, malware, or attempts to circumvent platform limits.

🚫 Privacy violations Sharing non-consensual intimate imagery; publishing another person's private information (address, phone number, financial information) without consent; recording or distributing communications in violation of applicable law.

Prohibited Conduct: • Reverse engineering, decompiling, or attempting to extract source code of the Service. • Probing, scanning, or testing the vulnerability of any part of the Service without authorization. • Interfering with the operation of the Service or with other users' enjoyment of it. • Using automated tools (bots, scrapers) to access the Service except as expressly permitted. • Creating accounts after being suspended or banned, or assisting others in evading enforcement.

Enforcement & Repeat Violators

Response Commitment: Stitch Social commits to reviewing and acting on every objectionable-content report within 24 hours of submission. Action may include content removal, account suspension, permanent ban, and where appropriate referral to law enforcement.

Tools Available to You:Report. Every video, profile, and message has an in-app Report button. Submissions are sent to abuse@stitchsocial.me and queued for moderator review. • Block. Tap Block on any user profile to instantly remove their content from your feed and prevent further contact. Blocks are enforced reactively across the discovery feed, threads, comments, and direct messages. • Filter. Automated content screening (AI-assisted moderation) runs on every upload and flags potentially violating content for human review before it appears in feeds.

How We Enforce: We rely on a combination of: • User-submitted in-app reports, which our team reviews within 24 hours. • Community moderators within Communities, who can remove content and members from their own Communities. • Manual review by Stitch Social administrators. • Automated AI screening on every upload (image/video/text), flagging objectionable content before publication.

Reporting Content or Conduct: To report content, an account, or behavior that violates these Terms, email abuse@stitchsocial.me with: • A link to the content or account • A description of the violation • Your contact information (for follow-up; we maintain reporter confidentiality where possible)

We aim to acknowledge reports within 48 hours and to resolve most reports within 7 days. Reports involving imminent safety threats or CSAM are prioritized and escalated immediately.

Enforcement Actions: Depending on the severity of the violation, we may take one or more of the following actions, in any order: • Remove specific content • Issue a warning • Restrict account features (e.g., posting, commenting, tipping) • Suspend the account temporarily • Permanently terminate the account • Withhold creator payouts pending resolution • Report to law enforcement

Repeat-Violator Policy: We maintain a strikes system for AUP violations. Each substantiated violation is recorded against the account.

First violation: Warning and content removal. The user is notified of the violated provision. • Second violation: Temporary suspension (typically 7 days) and content removal. • Third violation: Permanent account termination.

Immediate Termination — No Strikes: The following violations result in immediate, permanent account termination on first occurrence, with no warning period: • Any CSAM or child-safety violation • Credible threats of violence • Material support for designated terrorist organizations • Distribution of non-consensual intimate imagery • Coordinated platform manipulation or large-scale fraud • Use of the Service after a previous permanent ban

Appeals: Users may appeal enforcement decisions by emailing appeals@stitchsocial.me within 14 days of the action. Decisions on appeal are final.

Coordination with Payment Processors: Where a violation involves payments (e.g., tipping for prohibited content, fraudulent purchases), we share relevant account and transaction data with the affected payment processor (Stripe or Apple) as part of our compliance obligations.

Your Content

You Retain Ownership: You retain all ownership rights to the content you create and upload to the Service ("Your Content"). We do not claim ownership of Your Content.

License You Grant Us: By posting Your Content on the Service, you grant Stitch Social a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, distribute, publicly display, publicly perform, modify (for technical purposes such as resizing or transcoding), and create derivative works of Your Content, solely for the purpose of operating, promoting, and improving the Service.

This license terminates when you remove Your Content from the Service, except that: • We may retain copies for backup and legal-compliance purposes for a reasonable period. • Where Your Content has been stitched or used in a thread by another user, derivative works incorporating Your Content remain licensed for the lifetime of those derivative works.

You Are Responsible for Your Content: You represent and warrant that: • You own Your Content or have all necessary rights and permissions to grant the licenses above. • Your Content does not violate the AUP, third-party rights, or applicable law. • You will not share content you obtained from another platform if doing so violates that platform's terms.

DMCA / Copyright Takedown: If you believe content on the Service infringes your copyright, send a written notice to dmca@stitchsocial.me including all information required under 17 U.S.C. § 512(c)(3): 1. A physical or electronic signature of the rights holder or authorized agent. 2. Identification of the copyrighted work claimed to be infringed. 3. Identification of the allegedly infringing material and information sufficient to locate it. 4. Your contact information. 5. A statement of good-faith belief that the use is not authorized. 6. A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the rights holder.

We will respond to valid notices and may remove or disable access to the material identified. We terminate accounts of users who are repeat copyright infringers.

Counter-Notification: If you believe content was removed in error, you may submit a counter-notification meeting the requirements of 17 U.S.C. § 512(g)(3).

Payments, Hype Coins, and Tips

Hype Coins: Hype Coins are a virtual currency you can purchase to tip creators and (when launched) to access optional features. Hype Coins have no monetary value outside the Service, are not redeemable for cash by purchasers, and are not transferable except as expressly provided.

Web purchases (stitchsocial.me) are processed by Stripe, Inc. as our payment processor. Your card and billing information are handled directly by Stripe under [Stripe's Privacy Policy](https://stripe.com/privacy) and [Terms](https://stripe.com/legal/consumer). • iOS in-app purchases are processed by Apple Inc. through the App Store, subject to Apple's Media Services Terms and Conditions. • Prices are displayed at the time of purchase and may differ between web and iOS due to platform fees.

No Refunds for Hype Coins (Except As Required by Law): Hype Coin purchases are final and non-refundable except: • Where required by applicable consumer-protection law in your jurisdiction. • In cases of duplicate charges or technical errors, which we will correct on request. • Apple IAP refund requests must be submitted directly to Apple. • Stripe refund requests for fraudulent or unauthorized charges should be sent to billing@stitchsocial.me.

Tipping ("Hype Tips"): Tips sent to creators are voluntary and are not in exchange for any specific goods or services. By sending a tip, you understand: • The tip is a discretionary gift to the receiving creator. • Tips are non-refundable once delivered to the creator. • Stitch Social facilitates the tip but is not the seller of any goods or services in connection with it. • Where Stitch Social retains a portion of a tip as a platform fee, that amount is disclosed at the time of transaction.

Tipping is governed by Stripe's requirements for Tips & Donations where Stripe is the processor.

Creator Payouts: Creators who receive tips or other earnings on the Service may withdraw earnings to a connected payout account once supported. Payout infrastructure is being rolled out via Stripe Connect, and individual creators will be required to complete Stripe's identity-verification (KYC) flow before receiving payouts. Each creator will have a unique Stripe Connect account ID linked to their Stitch Social profile.

100 Hype Coins = $1.00 in payout value to creators. • Minimum payout thresholds and processing schedules will be disclosed in the creator wallet. • Creators are responsible for taxes on earnings; we will issue applicable tax forms (e.g., U.S. Form 1099-K) where required by law.

Forfeiture of Earnings: We may withhold or forfeit Hype Coin balances and creator earnings associated with accounts terminated for AUP violations involving fraud, illegal activity, or coordination with the violation.

Chargebacks: Initiating a chargeback for a Hype Coin purchase without first contacting billing@stitchsocial.me may result in account suspension.

Third-Party Services

The Service relies on third-party providers, including:

Stripe, Inc. — payment processing and creator payouts (Connect). • Apple Inc. — iOS in-app purchases. • Google Firebase — authentication, database, push notifications, and cloud hosting. • OpenAI — used for optional auto-generation of video titles, descriptions, and hashtags from audio. This is a feature-extraction service only; it does not perform content moderation.

Your use of the Service is also subject to the terms and policies of these providers where applicable. We are not responsible for the practices of third-party services.

Disclaimers & Limitation of Liability

The Service is Provided "As Is": THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING (BUT NOT LIMITED TO) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY USER CONTENT.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STITCH SOCIAL, COLD HARBOR DIGITAL, OR ANY OF ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Indemnification: You agree to indemnify and hold harmless Stitch Social and Cold Harbor Digital from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising from (i) your use of the Service, (ii) Your Content, (iii) your violation of these Terms, or (iv) your violation of any third-party right.

Governing Law & Disputes

Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

Disputes: Most concerns can be resolved by emailing legal@stitchsocial.me. If a dispute cannot be resolved informally, both parties agree to resolve it through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with arbitration taking place in Delaware (or your county of residence if you are a U.S. consumer). You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by emailing legal@stitchsocial.me with the subject "Arbitration Opt-Out."

Class-Action Waiver: You and Stitch Social agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Exceptions: Either party may bring a claim in small-claims court, or seek injunctive relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.

Changes to These Terms

We may update these Terms from time to time. When we do, we will: • Post the updated Terms on this page. • Update the "Last Updated" date. • For material changes, provide additional notice (in-app banner, email, or both) at least 30 days before the changes take effect, except where a shorter period is required by law.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you may stop using the Service and delete your account.
